Welcome to Flexable (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Flexable governing your access to and use of our website, platform, and services (collectively, the “Platform”).
By accessing, registering for, or using Flexable, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
DEFINITIONS
1.1 “Platform” refers to Flexable, including its website, applications, and related services. 1.2 “User” refers to any individual or entity accessing or using Flexable, including both freelancers and clients. 1.3 “Freelancer” refers to individuals or entities offering services on the Platform. 1.4 “Client” refers to individuals or entities hiring freelancers through the Platform. 1.5 “Services” means the freelance services provided by freelancers through Flexable. 1.6 “User Content” refers to any content, including text, images, and project descriptions, uploaded by users to the Platform.
ELIGIBILITY
2.1 You must be at least 18 years old to use the Platform. 2.2 By using the Platform, you represent that you have the legal capacity to enter into binding contracts. 2.3 We may restrict access to Users who have violated these Terms or applicable laws.
ACCOUNT REGISTRATION & SECURITY
3.1 Users must provide accurate and up-to-date information during registration. 3.2 You are responsible for maintaining the confidentiality of your account credentials. 3.3 You must notify us immediately if you suspect unauthorized access to your account. 3.4 Flexable reserves the right to suspend or terminate accounts providing false or misleading information.
USER OBLIGATIONS & PROHIBITED ACTIVITIES
4.1 Users agree not to:
- Engage in fraud, misrepresentation, or illegal activities.
- Violate intellectual property or proprietary rights.
- Use automated bots, scrapers, or exploit the Platform in any way.
- Circumvent the Platform’s payment or review systems.
- Post harmful, misleading, defamatory, or illegal content.
- Engage in harassment, discrimination, or abuse of other users. 4.2 Flexable reserves the right to investigate and take action, including account suspension, for violations of this section.
PAYMENT TERMS
5.1 Clients agree to pay freelancers through the Platform’s secure payment system. 5.2 Flexable charges a service fee for transactions, which will be communicated prior to payment. 5.3 Payments must not be made outside the Platform. Violating this policy may result in account suspension. 5.4 In case of payment disputes, our Dispute Resolution Policy shall apply.
INTELLECTUAL PROPERTY RIGHTS
6.1 Freelancers retain ownership of their work unless otherwise agreed with the Client. 6.2 Clients receive a license to use the delivered work as outlined in their agreement with the Freelancer. 6.3 Users grant Flexable a non-exclusive, royalty-free license to use their content for promotional purposes. 6.4 Users must not infringe upon third-party copyrights or trademarks.
CONFIDENTIALITY & PRIVACY
7.1 Users must maintain the confidentiality of proprietary and sensitive information obtained through the Platform. 7.2 Personal data is processed in accordance with our Privacy Policy. 7.3 Flexable does not guarantee the security of third-party communications.
DISPUTE RESOLUTION
8.1 Users should attempt to resolve disputes directly before seeking intervention. 8.2 If a dispute remains unresolved, it may be escalated to Flexable’s support team. 8.3 Flexable reserves the right to make a final determination on disputes related to payments and contract breaches. 8.4 Legal disputes shall be governed by the laws of laws of India.
TERMINATION & ACCOUNT SUSPENSION
9.1 Users may terminate their accounts at any time. 9.2 Flexable reserves the right to suspend or terminate accounts for:
- Breach of these Terms.
- Fraudulent or illegal activities.
- Misuse of the Platform. 9.3 Upon termination, outstanding obligations, including fees owed, must be settled.
LIABILITY LIMITATIONS
10.1 Flexable is not responsible for:
- The actions or omissions of freelancers or clients.
- The quality, accuracy, or reliability of services provided.
- Any indirect, incidental, or consequential damages. 10.2 Our liability is capped at the total fees paid to Flexable within the past six months.
INDEMNIFICATION
11.1 Users agree to indemnify and hold Flexable harmless from any claims, liabilities, damages, or legal fees arising from:
- Their use of the Platform.
- Violation of these Terms.
- Infringement of third-party rights.
MODIFICATIONS TO TERMS
12.1 Flexable may update these Terms at any time. 12.2 Users will be notified of significant changes via email or on the Platform. 12.3 Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
GOVERNING LAW & JURISDICTION
13.1 These Terms shall be governed by and interpreted in accordance with the laws of laws of India. 13.2 Any disputes arising from these Terms shall be exclusively resolved in the courts of laws of India.
